1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of the services provided by Ropi Robi Ventures Limited ("Company," "we," "us," or "our"), a registered building and civil engineering contractor in Kenya. By engaging our services, accessing our website, or entering into a contract with us, you agree to be bound by these Terms.

These Terms are subject to Kenyan law, including but not limited to the National Construction Authority Act, the Building Code, and other relevant construction and business regulations in Kenya.

4. Contracts and Service Agreements

All construction projects are governed by formal written contracts that include:

  • Detailed scope of work and specifications
  • Project timeline and milestones
  • Payment terms and schedule
  • Quality standards and compliance requirements
  • Warranty terms and conditions
  • Dispute resolution procedures
  • Compliance with Kenyan construction laws and regulations

The specific terms of each project contract will supersede these general Terms of Service where applicable. All contracts are subject to Kenyan contract law.

5. Payment Terms

Payment terms for construction projects are specified in individual contracts. General payment terms include:

  • Payment schedules based on project milestones
  • Advance payments as specified in the contract
  • Retention amounts as per industry standards (typically 5-10%)
  • Payment in Kenyan Shillings (KES) unless otherwise agreed
  • Late payment charges as specified in the contract

All payments must be made in accordance with the agreed payment schedule. Failure to make timely payments may result in suspension of work, as permitted under Kenyan construction law.

6. Quality Standards and Compliance

We are committed to delivering high-quality construction services that comply with:

  • Kenyan Building Code and construction standards
  • National Construction Authority (NCA) regulations
  • Environmental and safety regulations
  • Industry best practices and quality standards
  • Project specifications and approved designs

All construction work is subject to inspection and approval by relevant authorities, including local building inspectors and NCA officials where applicable.

7. Warranties and Guarantees

We provide warranties for our construction work as follows:

  • Structural Warranty: As per Kenyan building standards and contract terms (typically 1-2 years)
  • Workmanship Warranty: Coverage for defects in workmanship (typically 1 year)
  • Material Warranty: Subject to manufacturer warranties for materials used

Warranty claims must be reported in writing within the warranty period. We will remedy defects covered under warranty at no additional cost, subject to the terms of the specific contract.

8. Client Responsibilities

Clients are responsible for:

  • Providing accurate project requirements and specifications
  • Obtaining necessary permits and approvals from relevant authorities
  • Ensuring site access and availability
  • Making timely payments as per the contract
  • Providing necessary information and decisions in a timely manner
  • Complying with all applicable laws and regulations

9. Limitation of Liability

Our liability is limited as follows:

  • Our total liability shall not exceed the contract value unless otherwise specified
  • We are not liable for delays caused by factors beyond our control (force majeure)
  • We are not liable for indirect, consequential, or incidental damages
  • Liability is limited to the warranty period unless otherwise specified in the contract

These limitations are subject to mandatory provisions of Kenyan law that cannot be excluded.

10. Dispute Resolution

In the event of disputes, we follow this resolution process:

  1. Negotiation: Parties will attempt to resolve disputes through good faith negotiation
  2. Mediation: If negotiation fails, disputes may be referred to mediation through a mutually agreed mediator
  3. Arbitration: Disputes may be resolved through arbitration under the Arbitration Act of Kenya
  4. Court Proceedings: As a last resort, disputes may be resolved through Kenyan courts

The jurisdiction for any legal proceedings shall be the courts of Kenya, specifically in Nairobi.

11. Force Majeure

We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including:

  • Natural disasters, extreme weather conditions
  • Government actions, changes in laws or regulations
  • Labor strikes or industrial actions
  • Material shortages or supply chain disruptions
  • Pandemics or public health emergencies
  • Other events recognized as force majeure under Kenyan law

12. Intellectual Property

All designs, plans, drawings, and technical documents prepared by us remain our intellectual property unless otherwise specified in the contract. Clients are granted a license to use such materials for the specific project only.

13. Termination

Either party may terminate a contract under the following circumstances:

  • Material breach of contract by the other party
  • Insolvency or bankruptcy of either party
  • Mutual agreement to terminate
  • As specified in the contract terms

Termination procedures and obligations are specified in individual contracts and are subject to Kenyan contract law.

14. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Kenya. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Kenya.
